These Terms & Conditions apply to all projects completed by Origami Penguin, a trading name of Blink Photo Ltd.


Payment Terms

Payment for Standard Projects

Unless indicated on a signed contract between Origami Penguin and the client, these payment terms are applicable to all work undertaken by the Origami Penguin studio.

The client accepts legal responsibility for the company associated with this project. They agree to be invoiced for the work associated with this fee proposal and will be responsible for paying the invoice within our payment terms of 30 days from date of invoice.

Our standard payment terms, unless previously agreed in a contract are as follows:

  1. A 20% deposit invoice will be issued before work commences. Once payment for the deposit invoice is received and cleared the project will be placed in our job queuing system for the project to begin.
  2. A second invoice of 40% is due Mid-Way through the agreed project. Standard 30 day terms will apply.
  3. A final invoice of 40% will be issued when the project is completed. Charges for any additional work or expenses may be added to this invoice (usually for requirements that are added after the original quote agreement).
  4. All projects are subject to our standard terms & conditions that are available on request. Projects are subject to VAT at the current rate of 20%.

Additional Payment Terms

Web Design & Development Projects

For Web Design & Development projects, all invoices must have been paid and funds must have reached our account before the website is due to go live.

Payment for Maintenance & SEO Subscriptions

Payment for ongoing Maintenance or Optimisation can be completed in two ways:

Upfront 6 Month Payment

Once a Maintenance or SEO Package has been selected, an invoice will be supplied for the agreed amount over a 6 month period. The invoice will be due within 30 days of the date, and the full amount must have been paid before any work will proceed.

Ongoing Monthly Direct Debit

All direct debit payments are set up using GoCardless, a basic reoccurring payment system. Each Payment will be due on the first of every month, and must have been cleared before any work is completed. Once a direct debit has been set up, the contract will run indefinitely. To cancel the direct debit please give at least 30 days notice to ensure cancellation does not incure any additional costs. All GoCardless payments include VAT at the standard rate of 20% and a standard payment term contract is available on request.

We reserve the right to amend any of our prices at any time, however if changes are likely to occur during a project, subscription or direct debit term, every effort will be made to notify our clients well in advance of the changes.

Payment for Hosting & Domains

Payments for Hosting & Domain Names will be set up via a yearly direct debit. All direct debit payments are set up using GoCardless, a basic reoccurring payment system. Each Payment will be due once every 12 months. Once a direct debit has been set up, the contract will run indefinitely. To cancel the direct debit please give at least 30 days notice to ensure cancellation does not incure any additional costs. All GoCardless payments include VAT at the standard rate of 20% and a standard payment term contract is available on request.

Free Hosting Offer

Origami Penguin offers free website hosting to all new clients for the initial 12 month period. We reserve the right to cancel this at any period if;

  1. Any Payments Due to Origami Penguin from the company are not received within the agreed 30 day period
  2. The website is used for any Malicious Reasons
  3. The Site Becomes too large or Bandwidth Limits exceed our standard hosting packages

Fully Managed Web Hosting

We offer a minimum 99% uptime service, backed up with 24 hour phone support, 7 days a week, 365 days a year. Our external server monitoring systems will instantly alert us of any potential incidents and our 6 day incremental and weekly backup system provides a safety net for any incidents that may occur.

We offer a range of business-grade fully managed web hosting packages to suit all sizes of web presence, leaving you to focus on your business whilst we look after your website.

Standard features included with all our fully managed accounts:

Yearly Contract

Purchased annually, all of our basic, standard and premium shared hosting accounts are exempt from multi-year minimum contracts.

UK Telephone Support

We provide 24 hour phone support, 7 days a week, 365 days a year from a dedicated technical support team based in the UK.

Comprehensive Backups

To ensure the safety of your data, all accounts are backed up with a 6 day incremental backup, and a weekly full server back-up.

If you require a more regular back up service, we offer an additional backup system that can be scheduled to save Database or Full Site backups to a remote location. This premium backup service has an additional cost, plus the clients storage space must be organised and payed for in addition to this service.

Enterprise Class Intel Xeon E3-1230 v2 @ 3.30GHz Server

Our servers run on an enterprise-level Linux operating system, with the industry-standard Apache, PHP & MySQL packages, protected by hard and software Firewalls.

Remote Monitoring

Our infrastructure is monitored from around the world to make sure our network, servers, DNS and email are fully online. Alerts are sent instantly to our data provider and us. If required, technicians are available 24/7/365, both remotely and on-site.

All hosting packages are located on our dedicated servers housed in the UK.  All packages benefit from 24/7 server monitoring and advanced UPS management.

Managed Hosting

All our Hosting Packages do not include client access FTP for security reasons. If you require a tailored Un-managed hosting package, please contact us for more details. We can assist you and advise on the best services, but our dedicated servers are reserved for our fully managed hosted clients.

By requesting work from the Origami Penguin studio, you are agreeing to adhere to our working processes. These can be changed from project to project. To find out more about our processes select the project type from the list below:

Our Web Design & Development Process

Origami Penguin design and develop websites to the latest standards using a variety of platforms and content management systems. We are happy to provide more information on these systems, or if you have a preferred CMS let us know.

Our proven approach to bespoke projects is outlined below:

1. Project Outline

To begin with we need to discover as much as possible about the requirements for the project. If you have had any ideas or seen examples of something similar, let us know so we can begin to discuss the options.

2. Project Solutions

Once we’ve had chance to look at all the information available in the Project Outline we’ll use our wealth of experience to present a range of options for the brief.

3. Design Approval

Once a Solution has been agreed, we’ll begin the design process. We’ll produce mock-ups and layouts to visualise the solution. It is at this stage where client feedback is imperative, amending the design now can
save hours of work at the development, stage so a design must be approved by the client before moving on.

4. Development

Once the design has been signed off we will build the templates on a development area on our server. It is at this stage where content may be required to populate the site, so any images and text needs to be supplied. Once we are happy with the site we will give you access to the development area. At this stage adjustments can be made, but any design or layout amends may result in additional costs.

5. Testing

Once everyone is happy with the development version we will extensively test the site in a range of commonly used browsers and devices. Please note, not all functionality is cross browser compatible, so please raise any concerns you have as early as possible to avoid disappointment.

6. Deployment

We provide hosting for most of our clients with incredibly competitive rates (see the hosting section of this document for more details). Once all outstanding invoices have been paid for the project, and the dev site has been approved, we are ready to push the site live using your specified domain name.

7. On-going Support & Site Management

Once your website is live, the hard work starts! A good site should be kept fresh with new content and existing pages should be optimised for search engines. We can help with all aspects of Site Management, Search Engine Optimisation and bespoke applications and extensions.

Our Graphic Design Process

We have a vast array of experience creating designs for all types of businesses. Our account managers will work closely with you to develop ideas, whilst our designers will translate these concepts using the latest software.

Our proven approach to Graphic Design projects is outlined below:

1. Project Outline

To begin with we need to discover as much as possible about the requirements for the project. If you have had any ideas or seen examples of something similar, let us know so we can begin to discuss the options.

2. Project Solutions & Quote

Once we’ve had chance to look at all the information available in the Project Outline we’ll use our wealth of experience to present a range of options for the brief.

3. Design Approval

Once a Solution has been agreed, and our contract has been signed and returned, we’ll begin the design process. We’ll produce a range concepts and layouts to visualise the solution. It is at this stage where client feedback is imperative, amending the design now can save hours of work in the latter stages. Any style decisions that will effect the overall design must be approved by the client before moving on.

4. Production

Once a concept has been signed off we will produce the final Artwork. During this stage there will be various opportunities to view working examples to ensure everything is looking consistent.

5. Proof Reading & Approval

Once everyone is happy with the artwork, final checks should be made by the client to ensure all copy, images, labels, codes and content is correct.

6. Final Artwork

Once any adjustments have been made the final artwork will be exported and supplied to the client and / or the printers.

Our Movie Production & Animation Process

We’ll work closely with you to create a storyboard before shooting any footage or animation. Once this has been signed off we will work with our partners at Blink Photo to produce all of our Film and Animation to meet the requirements outlined in the storyboard as closely as possible. The final editing is then completed in house with various opportunities for you to follow the progression.

Our proven approach to bespoke movie and animation projects is outlined below:

1. Project Outline

To begin with we need to discover as much as possible about the requirements for the project. If you have had any ideas or seen examples of something similar, let us know so we can begin to discuss the options.

2. Project Solutions

Once we’ve had chance to look at all the information available in the Project Outline we’ll use our wealth of experience to present a range of options for the brief, and quote where possible.

3. Storyboard

We will create a visual storyboard that includes information about the shot types, sound effects and narrative. Where applicable we will also begin to discuss props and graphic elements.

4. Storyboard Approval

It is at this stage where client feedback is imperative, amending the storyboard now can save hours of work at the shooting/animation stage so a storyboard must be approved by the client before moving on. Any changes to the structure of the movie after the storyboard has been approved may lead to additional costs.

5. Production

Once the storyboard has been signed off we will begin to build any sets, shoot footage and create any animation that is required. If scenes involve actors, or large sets, we may require approvals of each section to ensure we can move on without the need to come back to the section. Clients must be available to approve these elements as we are shooting, if additional time is required due to slow feedback additional costs may be incurred.

6. Editing

Once all required footage and animation has been captured we will begin to edit the movie into the final sequence. At this stage we’ll add sample audio clips, graphics and any effects that are required.

7. Deployment

We can provide any movie at various different resolutions and formats. Please ask if you have a preference or a specific location for the movie, we’ll try to optimise it for the intended use.

Our Brochure Design Process

We have a vast array of experience creating brochure designs for all types of businesses. Our account managers will work closely with you to develop ideas, whilst our designers will translate these concepts using the latest software.

Our proven approach to Brochure Design projects are outlined below:

1. Project Outline

To begin with we need to discover as much as possible about the requirements for the project. If you have had any ideas or seen examples of something similar, let us know so we can begin to discuss the options.

2. Project Solutions & Quote

Once we’ve had chance to look at all the information available in the Project Outline we’ll use our wealth of experience to present a range of costed options for the brief.

3. Content Preparation

Before we start to create the artwork it is vital that all of the required elements are supplied in one, clear to understand, batch. If the images, logos, artwork files, fonts, copy and requirements are all supplied in one go we will endeavour to stick to the agreed budget.

4. Production

Once we have all the required files we will produce the initial brochure Artwork. During this stage there will be various opportunities to view working examples to ensure everything is looking consistent and that the design is being produced to a satisfactory style and quality. It is at this stage where client feedback is imperative, amending the design now can save hours of work in the latter stages.

5. Initial Proof Approval

Once the initial brochure design is completed it is important the client carefully checks everything to ensure no mistakes have been made during the design process.

6. Proof Reading & Approval

Once everyone is happy with the artwork, final checks should be made by the client to ensure all copy, images, labels, codes and content is correct. We can not be held responsible for any mistakes after the final document approval.

7. Final Artwork

Once any adjustments have been made, the final artwork will be exported and supplied to the client and / or the printers as a print ready PDF.


Source Files

All projects completed by the Origami Penguin studio are completed with the understanding that the agreed payment total is for the final product only, and will under no circumstances include the source files used to create the product. Source files include:

  • Adobe Premier Project Files
  • Final Cut Pro Project Files
  • InDesign Project Files & Packaged Documents
  • Layered Photoshop Files

These types of documents will be retained by the Origami Penguin studio for licensing and distribution purposes. They will remain the property of the Origami Penguin studio and we reserve the right to use them for any of our projects.

Website Source Files

With regards to a website, the final product is the entire website including templates and all required code. This is the property of the client and is available at request at any time, however the code used within these files is not the sole property of the client. We reserve the right to copy and distribute any source code originally created by the Origami Penguin studio.


Third Party Contractors

Origami Penguin can act as a mediator between Third Parties to include additional services within an agreed project. For some of these services we can not be responsible in issues encountered from the third party, however we will do everything in our power to ensure a fair resolution is agreed if you are unhappy with the quality of the work.

Printing

Origami Penguin can offer quotes for print within our overall project costs, however we do not produce printed products in house. We use a network of trusted suppliers for different types of project.

If the product does not meet the expected standards, we will raise the issue with the supplier but under no circumstances can we be held responsible for the issue.
